The opportunities presented below are connected to the same infrastructure ecosystem, but they represent distinct investment opportunities and should not be interpreted as the same investment.

The first is the Açude Gavião Floating Solar Photovoltaic Energy Platform, conceived as a modular infrastructure development expanding from 6 MW to 54 MW and combining renewable energy generation with water infrastructure. The project materials describe a dedicated investment structure for each development phase.

The second is a Private Investment Structure directly with Athos Service, linked to the company’s own scope of activities during the initial 6 MW phase of the Açude Gavião Floating Photovoltaic Plant. Under this structure, the investor defines their participation and establishes a direct contractual relationship with Athos Service, with the investment term, rights, and return conditions established in the transaction documentation.

Participation is formalized directly with Athos Service through a specific contractual instrument that clearly establishes the investment terms, duration, investor rights, and the applicable return on investment.

The structure is designed to provide investors with access to an opportunity connected to a real infrastructure project, while maintaining a direct, individualized, and transparent contractual relationship with Athos Service.

Each investor determines their participation according to the terms available at the time of contracting. The investor’s position is formally established on an individual basis and governed by the terms and conditions set forth in the respective contractual instrument.

This structure does not constitute automatic admission to the equity or ownership structure of Athos Service or of the Special Purpose Vehicle (SPV) responsible for the project. The investor’s rights arise exclusively from the specific contractual structure governing the transaction.

The Private Investment Structure presents a different relationship: how the investment is contractually connected to Athos Service’s activities and specific responsibilities within this phase of the project.

For this reason, we recommend that potential investors review both materials.

They are complementary in providing the overall context; however, from both a legal and economic perspective, they should be analyzed independently.

More Transparency Before the First Conversation

Infrastructure projects require more than an attractive presentation.

They require an understanding of:

  • what is actually being developed;
  • which stages still need to be completed;
  • who is responsible for each aspect;
  • how the capital will be allocated;
  • which terms and conditions belong to the project and which relate specifically to the contractual investment relationship;
  • which assumptions are still subject to engineering, budgeting, contracts, permits, and regulatory approvals.

The Private Investment Structure documentation itself establishes that several figures related to the 6 MW phase are internal working assumptions. Revenues, costs, insurance, taxes, grid connection, maintenance, contracts, and the project schedule will depend on the final documentation and the applicable approvals.

Local capability matters.

For an overseas investor, entering Brazil should not require interpreting a project from a distance.

Athos Service’s role in these opportunities creates a local point of reference through which the project, responsibilities and capital structure can be discussed within the Brazilian operating environment.
